This agree'ment is not intended, and it shall not be <br />construed, as an agreement to undertake and 'perform <br />Stage II activities,' but rather is intended as an <br />interim agreement for the purpose of memorializing the <br />parties' agreements and understandings with respect to <br />the compensation and reimbursement of expenses incurred <br />by the. Contractor in its activities preliminary to <br />Stage II activities as described above~ <br /> <br />6. This Agreement shall bind and benefit the parties and <br />their successors. <br /> <br />7. This contract may be terminated by either party with or <br />without cause upon 10 days notice in writing to the <br />other party at the addresses first above given. In the <br />event that the contract is so terminated, the State <br />shall compensate the Contractor for all services <br />rendered prior to the time that notice of termination <br />is given or received by the Contractor. <br /> <br />8. This contract shall become effective immediately upon <br />its execution by proper state signatories and shall <br />automatically terminate March 31, 19B6, unless sooner <br />terminated by either party to the contract pursuant to <br />the provisions of paragraph 7. <br /> <br />9. This contract is not assignable by the Contractor <br />except with the prior written approval of the State. <br /> <br />10. This contract is subject to and contingent upon the <br />availability of the $197,436 grant which Reclamation <br />has made available to the State. The State represents' <br />that it has an agreement with Reclamation to provide <br />the funds for the purposes of 'this cont~act <br />(Reclamation Contract). The State shall comply with <br />the Reclamation Contract. .
