Holman
Vice President
The Northern Trust Company
50 South La~alle Street '
Chicago, IL 60675

Dear Mr. Holman:

I have reviewed your letter of January 5, 1995, regarding
our District's lease and past discussions concerning pos6ible
purchase of the water the District is leasing from the F Quarter
Circle Ranch family with our Board at its meeting on January 10.
1995. I am .sorry if you and the family felt that our meetings
and discussions had in 1992 concerning possible purchase of the
subject water required further correspondence in this regard.
Frankly, it was the impression of the Board and me that the
Oi strict' s view of the value of purchasing this wa ter and the
family's view, Le.. $1,500,000 versus $4,819,530, were so far .
apart that f>>rther discussion seemed unnecessary.

Perhaps we were wrong, but we assumed. that the position of
the family ,as to what they consid8red they would require for the
purchase was so far in excess of what our investigation calcula-
tions would show the water would be tvorth to the District, that
it seemed to be a waste of all of our time and efforts to continue
further our discussions and negotiations had in 1992 regarding the
possible purchase.

As I believe we indicated to you and the family in 1992, it
was the desire of the Board to first attempt to try to negotiatl?
a r,easonable purchase price for the leased water before investi...
gating and pursuing other avenues of a more permanent supply of
water for the District of comparable quality, without be!n']
dependent on.the various conditions of a lease of water.

.

DIRECTORS
Paul L, McDill, Presldam
relrY Co..$/Ii. v.
