17.4 Sublease of Water Rights. Notwithstanding
anything contained herein to the contrary, the lease or
assignment to the Authority of any Contracting party's
leasehold or other interest in any water rights shall
be subject to: pre-existing leasehold restrictions,
existing decrees, any agreements between Contracting
Parties established pursuant to either paragraphs 7 or
8 hereof, or other contracts which predate the lease or
assignment of the subject water rights to the Authority.

18. Notices.

Any formal notice, demand or request provided for
in this Agreement shall be in writing and shall be deemed
properly served, given or made if delivered in person or
sent by registered or certified mail, postage prepaid to the
Contracting Parties at the addresses as set forth on Exhibit
B attached hereto, unless another address is certified to
the Authori ty.

19. Amendments.

This Agreement may be amended only by written
document approved by formal authority of the gove~ning
bodies of all of the Contracting Parties; provided, however,
that such amendment will not affect other obligations out-
standing of the Authority unless provision for full payment
of such obligations, by escrow or otherwise, has been made
pursuant to such obligations.

20. Successors and Assigns.

This Agreement shall be binding upon and inure to
the benefit of and be enforceable by the successors, assigns
and legal representatives of the parties hereto.

21. Severability.

In the event that any of the terms, covenants or
conditions of this Contract or their application shall be
held invalid as to any person, corporation or circumstance
of any court having competent jurisdiction, the remainder of
this Agreement, and the application in effect of its terms,
covenants or conditions to such persons, corporations or
circumstances shall not be affected thereby.

22. Original Counterparts.

This Agreement may be executed in counterparts,
each of which will be an original, but all of which together
shall constitute one and the same instrument.

IN WITNESS WHEREOF, the Contracting Parties have caused
this Agreement to be executed effective the date first above
written.
