SherwDDd and Jacqueline P. SherwoDd, acting as the trustees <br />of the Daniel A. and Jacqueline P. SherwoDd Trust under trust dated December 6, 1995, which <br />trust is the sole shareholder of Silver Springs Trout Farm Inc, (the "Corporation"), make and <br />execute this Consent to Action concerning a loan in the amount of up to $365,000 from the State <br />of Colorado Water Conservation Board (eWeB), for the pUIJlose of rehabilitation of the Silver <br />Springs Trout Farm hatchery to eliminate whirling disease in the facility and tD refinance existing <br />debt associated with rehabilitation work already completed: <br /> <br />I. By this consent, BE IT RESOLVED, by the shareholder of Silver Springs Trout <br />Farm Inc" that the Corporation shall: <br /> <br />a. Enter into and comply with the terms Df a contract with the Colorado <br />Water Conservation BDard for a IDan in the amount of$365,000, or such actual amount, <br />mDre or less, as needed for the project COSts, and <br /> <br />b, Make the annual payments required by the promissory note and tD make <br />annual deposits to a debt service reserve fund, and <br /> <br />c, Pledge certain property of the Company as collateral fDr the loan and <br />execute dDcumems necessary tD cDnvey a security interest in said prDperry tD the CWCB, <br />and <br /> <br />d. Execute, by its Dfficers, all documents as required by the loan contract, <br />including, but nDt limited to, a Promissory NDte, <br /> <br />, e, Take such Dther actions and to execute such Dther documents, by its <br />officers, as may be necessary to consummate and implement the loan, <br /> <br />This CDnsent to Action is executed by the sole sharehDlder of Silver Springs Trout Farm <br />Ine, pursuant tD C.R.S. 7-107-104 and shall have the same force and effect as a unanimous vote <br />of the sharehDlders at duly called meeting of the shareholders, <br /> <br />Appendix 3a to Loan Contract C150091 <br />
