I have reviewed the books and records of the company, which is a <br />mutual ditch company organized and existing under the laws of the State of Colorado, <br />and have concluded from my examination of the corporate records and current Colorado <br />law, that those persons authorized to sign as the "Borrower" on behalf of the company <br />has been duly or duly elected or appointed and has full authority to execute all <br />documents on behalf of the company in the completion of the loan agreement. Those <br />parties who are executing the loan agreements are Ronald D. Dorn, president, with his <br />signature attested to by Rose Moschetti, the secretary of the company, Provided all <br />documents are executed by the president and his signature is attested to by the <br />secretary of the company, their signatures are fully authorized to bind the company and <br />the company's shareholders to the loan agreement. <br /> <br />The board of directors of the corporation have adopted such resolutions approving <br />this contract as are necessary and nothing exists in the Articles of Incorporation or By- <br />Laws of the company that prevent this contract from binding upon the DeWeese-Dye <br />Ditch and Reservoir Company. I further state, that there are no state or local laws which <br />serve to create any legal impediment towards the borrower being fully abound by the <br />terms of this contract, and that as executed, the contract will be valid between the <br />DeWeese-Dye Ditch and Reservoir Company and the State of Colorado for the use and <br />benefit of the Department of Natural Resources, Colorado Water Conservation Board, <br />
