MEMORANDUM OF AGREEMENT

FROM: Ute Engineering and Surveying Company

TO: The North Fork Water Conservancy District

RE: Scope of Services for Engineering Feasibility Study

Ute will prepare an Engineering Feasibility Study of -the
following:

1. Repair of the slide area on the downstream slope of the
Lone Cabin Reservoir Dam.
2. Determine the location of a suitable borrow area.
3. Perform limited soils work to determine recommended dam
slope stability based on the soils in the recommended
borrow area.
4. Recommend optimum soil moisture and density.
5. Prepare preliminary design of a recommended repair.
6. Prepare preliminary cost estimates of the proposed
repair and related work.

Items of work will include elevations, required cross-sections,
estimates of quantities, and cost estimates.

Conclusions and recommendations will be made regarding the method
of repair we feel would be in the best interests of the Owner, a
cost estimate of the repair, and the estimated time required for
construction.

The intent of this proposal is to conduct the work stated
in sufficient detail to prepare preliminary extimates of
and prepare a preliminary design of the recommended
procedure.

The proposal does not anticipate the Engineer performing items of
work such as drilling of ~ork sites, soils exploration or
classification other than that work required to determine the
recommended maximum backslope and optimum moisture and density of
the emb~nkment material, ,hydraulic studies, hydrology and/or
runoff studies, and spillway or flood flows in the reservoir
basin.
