F rank Eckhardt, Jr" is the president of the Ditch Company and has authority to <br />execute loan documents on behalf of the Farmers Independent Ditch Company and <br />to bind the Ditch Company to the terms thereof <br /> <br />2. That Ditch Company's stockholders and board of trustees have validly adopted <br />resolutions approving the contract for the loan. <br /> <br />3. There are no provisions in either the Articles of Incorporation or By-laws of the <br />Ditch Company or any state or local law which prevent this contract from being <br />binding upon the Ditch Company, <br /> <br />4.
