3. The only modifications, alterations, or changes in the
Original Contract shall be that:

Paragraph A.5. shall read as follows:

A.5. The City Council of the Contractor will lawfully
adopt, pursuant of Section 8.21 of its City Charter
(as attached hereto and incorporated herein by
reference as Attachment B). a specific ordinance.
which shall be irrepealable for the period of the I
project loan. which ordinance shall issue as security
for repayment of the loan to the State in the event
of a default the revenues from future sales taxes. A
certified copy of such ordinance is attached hereto
and incorporated herein by reference as Attachment C.

Paragraph A.l2. shall read as follows:

A.12. Repay to the State the sum of One Million Two Hundred
Seventy-Seven Thousand Five Hundred Twelve Dollars
and Eighty-Three Cents ($1.277.512.83)( said payment
to be made in thirty-four (34) equal -'annual
installments of Thirty Thousand Seven Hundred Nine
Dollars and Twenty-Six Cents ($30.709.26), with no
installment payments in the years 1987. 1988. and
1989. and in three (3) equal annual installments of
Seventy-Seven Thousand Seven Hundred Ninety-Nine
Dollars and Thirty-Three Cents ($77,799.33), payable
in the years 2007. 2008. and 2009. The first
installment payment is to be made in the year 1984,
and payments are to be made as shown in Attachment D,
attached hereto and incorporated by reference herein,
until the entire principal sum has been paid. Said
installment payments shall be made payable to the
Colorado Water Conservation Board payable at the
offices of the said Board in Denver. Colorado.

Paragraph I. shall read as follows:

T. Upon completion of the payment of the full purchase
price to the State in the sum of One Million Two
Hundred Seventy-Seven Thousand Five Hundred Twelve
Dollars and Eighty-Three Cents ($1,277,512.83), as
set forth in paragraph A.12. of this contract, the
Contractor shall have no more financial obligations
to the State arising from this contract.

4. The effective Cate of tRis contract amendment is
seven (7) days after the day it is dated.

S. In the event of any conflict. inconsistency.
variance. and incongruity between the provisions of this
contract amendment and the Original Contract, the provisions of
this contract amendment shall in all respects supersede,
govern. and control.
