<br />WHEREAS, pursuant to the provisions of 37-60-119, Colorado.
<br />Revised Statutes 1973, as amended, the State is authorized to
<br />constcuct certain water projects for the benefit of the people
<br />of the State: and
<br />
<br />~HEREAS, the Contractor is a town in the State of Colorado.
<br />and wishes to imprOve its preseot water supplY system,
<br />hereirtafter called the project, for the citizens of Fruita
<br />in Me9a County, Colorado, ;'It an estimated cost af One Million
<br />Two H~ndred Thousa~d Dollars ($1,200,000), and
<br />
<br />WHEREAS, a feasibility investigation af said project was
<br />conducted and it waS found that such a project is ecanomically
<br />feasit>le; and
<br />
<br />W~EREAS, the State has agreed to construct said project and
<br />to. sell the same to the Contractor upon mutually agreeable
<br />terms and canditians, subject to the availability of funding
<br />for that purpose; and
<br />
<br />WHEREAS, pursuant to Senate Bill No. 439, Fifty-Third
<br />General Assembly of the State of COlorado, duly enacted inCa
<br />law, the Colorado water Conservatian Board haS been authorized
<br />to expend a sum not to exceed Eight Hundred Fifty Thousand
<br />DollarS ($850,000) for construction of the prOject,
<br />
<br />NOW THEREFORE, in consideratian af the mutual and
<br />dependent cavenants herein contained, it is aqreed by the
<br />parties hereto as fallaws:
<br />
<br />A. The Cantractor agrees that it shall:
<br />
<br />1. Emplay an engineering firm to. prepare project pla(1S
<br />and specifications for the proposed project. Both the
<br />eng ineering firm and the project plans and specif icat ions shall
<br />be approved by the State.
<br />
<br />2. Subcontract the canstruction of said project to a
<br />responsible and capable firm, said project to be completed
<br />within two (2) yearS of the date of this conttact in accordance
<br />with the project plans and specifications and any necessary \'
<br />modification thereof approved by the State. 1he State mus~
<br />approve, in writing, all subcontr:acts befare they become
<br />effective. The abo':e-mentioneo time may be e,ctended by the
<br />State if such time is insufficieot beca~se of acts of God or
<br />ather acts or circumstances beyond the control of the
<br />Contractor.

<br />3. Require all Subcontractors to. indemnify the State and
<br />the Contractor against all liability and loss, and against all
<br />claims and act ions based upon or arising aut of damage or
<br />
