The contracts to which <br />the District is a party are listed on Exhibit "District <br />Contracts", and are hereafter referred to as the District <br />contracts. Copies of all of the District contracts have been <br />provided to the city by the District. These contracts shall not <br />be assigned to the city, but shall remain in the na~e of the <br />District. However, the City agrees that the City eouncil, acting <br />as the Board of Directors of the District, shall cause the <br />District to fully perform all o~ the District's obligations under <br />the District contracts. The city, on behalf of the District, may <br />terminate any of the District contracts pursuant to the terms of <br />those contracts. <br /> <br />H. Employees of the District. <br /> <br />1. The City wi~l offer employment to the follow- <br />ing District employee who is employed by the District on the ef- <br />fective date of this Plan and Aqreement: Leonard M. Speakman. <br />This employee meets the minimum City qualifications. The City <br />will offer this employee a position similar to the position he now <br />holds with the District, with a starting date of the annexation <br />date. .As a City employee, he will be subject to the City'S <br />--personnel policies and will receive benefits as do other classi- <br />fied employees of the eity. The job classification and pay of <br />such employees within the eity system will be in accordance with <br />the duties and respon$ibilities assigned, but in any case will be <br />essentially equivalent to the duties and pay he currently receives <br />as an employee of the District. Said employee shall be treated as <br />having been terminated in the District and as a new employee by <br />the city. <br /> <br />2. The employment of all of the District's em- <br />ployees will be terminated on the annexation date. Benefits will <br />be paid to these employees in accordance with the policies adopted <br />by the Board, a copy of which is attached hereto as txhibit <br />"District Benefits". <br /> <br />I. Other Leaal Liabilities of the District. The Dis- <br />trict represents that as of the date it approved this Plan and <br />Agreement, no notices of claim had been filed against the District <br />or any of its employees under the Colorado Governmental Immunity <br />Act, C.R.S. 24-10-101 et sea. The City will cause an independent <br />audit of the District's books, finances, and affairs to be per- <br />formed at the District's expense once the District's electors have <br />approved this Plan and Agreement in order to be certain that the <br />fiscal and other assumptions are valid. <br /> <br />J.
