<br />the State. Payments by the State to the <br />Contractor shall be made against monthly <br />invoices of services actually rendered and <br />costs actually incurred at the rates set <br />forth in Exhibit C hereto. which exhibit is <br />by this reference incorporated herein. For <br />the period from March 1. 1990. through the <br />time of final acceptance of the Project by <br />the State. payment by the State to the <br />Contractor shall be the difference between <br />Five Hundred Thirty-Five Thousand Dollars <br />($535.000) and the total amount billed <br />through February 28. 1990. <br /> <br />b. For all professional services rendered by <br />the Contractor pursuant to paragraph (16) of <br />Exhibit B. payments oy the State to the <br />Contractor shall be made against monthly <br />invoices of services actually rendered and <br />costs actually incurred at the rates set <br />forth in Exhibit C hereto. up to the total <br />maximum amount of Ten Thousand Dollars <br />($10,000), which total maximum amount shall <br />be in addition to the fixed sum of Five <br />Hundred Thirty-Five Thousand Dollars <br />($535.000) set forth in subparagraph a. of <br />this paragraph 5. This total maximum amount <br />shall not be exceeded by 'the Contractor <br />without benefit of a written supplemental <br />contract executed prior to the performance of <br />any of the services called for by paragraph <br />(16) of ExhibitB. the payment of which would <br />exceed this total maximum amount. The <br />Contractor shall not undertake any of the <br />professional services called for by the said <br />paragraph (16) of Exhibit B without the prior <br />written approval of the State and shall <br />perform only such professional services as <br />are directed by the State. <br /> <br />14. This contract shall remain in full force <br />and effect through June 30. 1991. unless <br />sooner terminated or supplemented in writing <br />as provided herein. <br /> <br />4. This contact amendment shall take effect on the date first <br />above written. <br /> <br />5. In the event of any conflict. inconsistency, variance, or <br />incongruity between the provisions of this contract <br />amendment and any of the provisions of the Original <br />Contra-ct. and its attachments or -exhibits. or any of the <br />provisions of the Amendment #1 Contract. the provisions of <br />this contract amendment shall in all respects supersede. <br />govern. and control. <br /> <br />Page ~ of ~ pages <br />
