We have been requested to <br />render our opinion for the benefit of the CWCB and the State of <br />Colorado (the "State") relating to the matters set out below. <br /> <br />We are of the opinion that, under applicable Colorado <br />law in effect on the date of thi~ opinion: <br /> <br />1. The person signins the Loan Contract and related <br />documents for the Company was a duly elected <br />director and officer of the Company and has <br />authority to sign such documents on behalf of the <br />Company and to bind the Company. <br /> <br />2, The Company's sha~eholders and Board of Directors <br />have duly adopted resolutions approving the Loan <br />Contract. <br />
