Gentlemen:

I am writing, as requested by Ms. lilian's May 16, 1995 letter, to verify certain
matters in connection with the Grant Contract (presently undated at your request) which
has been forwarded to you by separate cover letter, having been executed by Theodore
L. Brooks, President of the River District, and attested by Roland C, Fischer, Secretary-
Engineer of the River District,

In my capacity as attorney for the River District I express my opinion that:

1. The signature of the person signing for the River District (Theodore L.
Brooks) is that of the District'$ President, an official of the River District who
has been duly elected by the River District's Board of Directors;

2. The person signing for the River District (Theodore L. Brooks) has authority
to bind the River District, and the Grant Contract has been validly approved
by the River District's Board of Directors acting in their capacity as the
governing body of the River District's Colorado River Water Projects
Enterprise;

3. There are no provisions in the River District's Organic Statute (C,R.S. ~37-
46-101 et sea.), Bylaws, or any other Colorado state or local law that will
prevent the Grant Contract from binding the River District; and
