MITICATION CRANT CONTRACT

THIS CONTRACT, made this --.dL day of 1995, by and between
the State of Colorado for the use and benefit 0 t e epartment of Natural Resources,
Colorado Water Conservation Board, hereinafter referre to as the BOARD, and The Colorado
River Water COnservation District, P.O. Box 1120, Glenwood springs, Colorado 81602,
hereinafter referred to as the DISTRICT and/or CONTRACTOR.

RECITALS

1. Authority exists in the law, and funds have been budgeted, appropriated and
otherwise made available and a sufficient unencumbered balance thereof remains available
for payment In Fund Number 424, Organization't.tlt Appropriation 051 . Program WTRC,
Object code51 '20, Contract Encumbrance Number C/ S3t '7'1 ; and

2. Required approval, clearance, and coordination have been accomplished from and
with appropriate agencies; and

3. The DISTRICT has constructed the Wolford Mountain Reservoir project hereinafter
referred to as the PROJECT; and

4. The DISTRICT has been required by various federal laws to apply for certain permits
and licenses for the construction and operation of the PROJECT; and

5. Section 37-6o-122.2(1Hb), 15 C.R.S. (19901, requires the applicant for any water
diversion, delivery, or storage facility which requires a permit, license, or other approval from
the United States to inform the BOARD, the Colorado Wildlife Commission (hereinafter the
COMMISSION) and the Colorado Division of Wildlife (hereinafter the DIVISION) of its application and
to submit a fish and wildlife mitigation proposal to the DIVISION and COMMISSION. The Applicant
has complied with this requirement.; and

6., Section 37-60-122.2(2Hb), 15 C.R.S. (1990), provides that in the event the cost of
implementing the mitigation recommendation exceeds five (5) percent of the construction
of the project ("the Applicant's share"), an, applicant may apply to the BOARD for a mitigation
grant of up to five (5) percent of the construction costs of the project to fund the costs of
the mitigation measures; and
