<br />such ti:ne as Tri- Area is either dissolved or the total service previsions of this Agreement <br />become effective. <br /> <br />SOW, THEREFORE~ 6e Parties agree as follows: <br /> <br />SECTION 1 <br />INTERCEPTOR LINE <br /> <br />1.1 Cost to Tri-Area. For E lump sum of $4,000,000 (the "Contract Price''), which <br />includes the $280, 17i previously paid by Tri-Area to 8t Vrain as described in paragraph 1.2 <br />below, St. Vrain agrees to design and construct. or cause to be designed and constmcted, the <br />Interceptor Line (coliectively "Construction Services"), all in accordance with design standares <br />and specifications established by 8t Vrain~ the Colorado Department of Public Health and <br />Environment, TIi-Area, and any other governmental entity or agency having jurisdiction thereof. <br />Tri-A-ea shall have the right to review and approve the plans, specifications and contract <br />documents for the Interceptor Line, which approval shall not be unreasonably withheld, <br />conditioned or delayed. The Construction Services provided by 81. Vrain hereunder shall <br />include all work and materials necessary to complete the Interceptor Line and connect <br />81. Vrain's wastewater collection system to Tri-Area's wastewater collection system, including <br />but not limited to~ the initial ar..d fi."lal design. acquisition of all necessary easements, <br />rights-of-way, permits and approvals, including site approval, survey. inspection, materials <br />testing. and the bid award and administration of a contract for the construction ofthe Interceptor <br />Line in accordance with State law. <br /> <br />1.2 Desit!n. St. Vrain hereby acknowledges receipt of $280~ 177 .00 previously paid <br />by Tn-Area to St. Vrain, which funds are being applied toward the cost of professional <br />engineering services procured by St. Vrain for the design of the Interceptor Line pursuant to that <br />certain Sewer Interceptor Participation Agreement, dated April 18, 2007. between the Parties <br />hereto. St. Vrain further reaffirms its obligation to cause the process of Interceptor Line design <br />to be diligently completed and to, concurrent therewith or as soon thereafter as is reasonably <br />possible. obtain all pennits, licenses, easements. rights-of-way and approvals, including site <br />approval~ for the construction of the Interceptor Line in accordance and compliance with the time <br />schedule and construction obligations imposed upon Tri-Area under the Consent Order and <br />Tri-Area's current wastewater Discharge Permit. <br /> <br />1.3 Bids and Construction. As soon as practical after the Interceptor Line has been <br />designed and al~ plan approvals and all easements, licenses. pennits and other approvals <br />necessary for the construction thereof have been obtained, OT St Vrain reasonably believes will <br />be obtained in a timely manner, S1. Vrain sha1! solicit bids for the construction of the Interceptor <br />Line in accordlb"lce with State law. It is anticipated that construction of the Interceptor Line will <br />be completed as part of a single construction project and that construction will be initiated no <br />later than May 31~ 2008 and will be completed no later than January 1. 20IO~ or such earlier time <br />as may be required by the Consent Order andlor Tri-Area's discharge permit. <br /> <br />1.4 Construction Documents. Construction of the Interceptor Line will be managed <br />by and under the control ofSt. Vrain; provided, however~ that in the event Tri-Area is not <br />dissoived effective January l~ 2008. the construction documents for the Interceptor Line shall <br /> <br />3 <br />
