<br />employees will be deemed e:nployees at will. During such ninety (90) day period. <br />Tri-Area employees will be paid at the same rates and salaries as they were paid by <br />Tri-Area. St. Vrain may reorganize its staf: and establish its staffing levels, as may be <br />determined by the St. Vrain general manager in accordance with the needs ofSt. Vl'ain. <br />as approved by the St. Vrain Board of Directors. Such reorganization and/or staffing <br />levels may result in the termination of employment or layoff of former Tri~Area <br />employees based \tpon the existing needs of St. Vrain. Nothing contained herein shall be <br />construed as granting any tenure or contractuall'ights to any former Tri-Area employee <br />beyond such ninety (90) day period. During such ninety (90) day period, all Tri-Area <br />employees shall be subject to ail applicable St. Vrain personnel policies, including <br />disciplinary measures, up to and including termination of employment. <br /> <br />I <br />I <br />I <br />r <br /> <br />4.7 Emplovee Retirement Plan. Tri-Area has established a 457 Deferred <br />Compensation Plan with the ICMA Retirement Corporation for Tri-Area employees. <br />S1. Vrain shall cause said Plan to remain in full force and effect for the benefit of all <br />Tri~Area employees participating as of the date ofTri-Area~s disso~utiol1; provided, <br />bowevert that said employees shall bave no right to make additional contributions nor <br />shall St. Vrain be under any obligations to make a contribution on behalf of any Tri-Area <br />employee from and after the date ofTri-Area's Dissolution. St. Vrain shall assume all of <br />Tri-Area's obligations under the plan on or before the effective date ofTri-Area's <br />Dissolution and shall obtain documentation from leMA and any other Trustee under the <br />plan discharging Tri-Area from any further liability in connection with the maintenance <br />and/or continuation of the plan. <br /> <br />In addition to the foregoing, St. Vrain shall administer for the benefit of Tri-Area's <br />employees to the extent required by law, all Tri-Area health and insurance benefits, <br />including but not limited to each individual employee's COBRA rights and benefits to <br />which they may be entitled following the effective date ofthe Dissolution ofTri-Area. <br /> <br />5. Continuation of Services <br /> <br />.. <br /> <br />5.1 General. As of the effective date of the Order of Dissolution, all residents <br />and property wi~hin Tri-Arca being served or then entitled to service by Tri-Area, will be <br />provided wastewater service and storm sewer services from St. Vrain. \Vastewater <br />service shall be of the same quality and level of service as S1. Vraill now or hereafter <br />provides to its current residents and customers and will include both wastewater <br />collection and treatment services. Storm sewer and drainage services shall be of the same <br />quality and level of service that is currently being provided by Tri-Area to its customers <br />and may be provided by St. Vrain through a water activity enterprise that has territorial <br />boundaries co-terminus with the water activity enterprise currently established by <br />Tn-Area and through which Tri-Area collects storm drainage fees. <br /> <br />8 <br />
