employees will be deemed e:nployees at will. During such ninety (90) day period. Tri-Area employees will be paid at the same rates and salaries as they were paid by Tri-Area. St. Vrain may reorganize its staf: and establish its staffing levels, as may be determined by the St. Vrain general manager in accordance with the needs ofSt. Vl'ain. as approved by the St. Vrain Board of Directors. Such reorganization and/or staffing levels may result in the termination of employment or layoff of former Tri~Area employees based \tpon the existing needs of St. Vrain. Nothing contained herein shall be construed as granting any tenure or contractuall'ights to any former Tri-Area employee beyond such ninety (90) day period. During such ninety (90) day period, all Tri-Area employees shall be subject to ail applicable St. Vrain personnel policies, including disciplinary measures, up to and including termination of employment. I I I r 4.7 Emplovee Retirement Plan. Tri-Area has established a 457 Deferred Compensation Plan with the ICMA Retirement Corporation for Tri-Area employees. S1. Vrain shall cause said Plan to remain in full force and effect for the benefit of all Tri~Area employees participating as of the date ofTri-Area~s disso~utiol1; provided, bowevert that said employees shall bave no right to make additional contributions nor shall St. Vrain be under any obligations to make a contribution on behalf of any Tri-Area employee from and after the date ofTri-Area's Dissolution. St. Vrain shall assume all of Tri-Area's obligations under the plan on or before the effective date ofTri-Area's Dissolution and shall obtain documentation from leMA and any other Trustee under the plan discharging Tri-Area from any further liability in connection with the maintenance and/or continuation of the plan. In addition to the foregoing, St. Vrain shall administer for the benefit of Tri-Area's employees to the extent required by law, all Tri-Area health and insurance benefits, including but not limited to each individual employee's COBRA rights and benefits to which they may be entitled following the effective date ofthe Dissolution ofTri-Area. 5. Continuation of Services .. 5.1 General. As of the effective date of the Order of Dissolution, all residents and property wi~hin Tri-Arca being served or then entitled to service by Tri-Area, will be provided wastewater service and storm sewer services from St. Vrain. \Vastewater service shall be of the same quality and level of service as S1. Vraill now or hereafter provides to its current residents and customers and will include both wastewater collection and treatment services. Storm sewer and drainage services shall be of the same quality and level of service that is currently being provided by Tri-Area to its customers and may be provided by St. Vrain through a water activity enterprise that has territorial boundaries co-terminus with the water activity enterprise currently established by Tn-Area and through which Tri-Area collects storm drainage fees. 8
