C" <br /> <br />This follows our recent telephone discussions concerning the <br />subject loan. With regard to the stockholders' approval, the <br />stockholders of the Windsor Reservoir and Canal Company approved <br />this loan at their annual meeting on January 7, 1994. At that <br />same meeting, the stockholders also approved an increase in the <br />annual assessments from $200.00 per share to $425.00 per share, in <br />part to cover this loan. I was present at the meeting, and both <br />of these items were approved by unanimous vote. <br /> <br />Per your request, you should also find enlcosed a copy of the <br />Certificate of Good Standing issued by the Colorado Secretary of <br />State's office on March 17, 1994. It is my understanding that you <br />have already clarified the other question regarding the perpetual <br />nature of the ditch company. <br /> <br />If you have any questions or require anything further to <br />complete the processing of this loan, please let me know. <br />
