The officers of <br />the Windsor Reservoir and Canal Company have reviewed and duly <br />executed all of the loan documents previously submitted to you by <br />our attorney. We also reviewed the letter of March 29, 1994 sent <br />to you by our attorneys, Sommermeyer, Wick, Dow & Campbell, and <br />the statements in it are accurate. <br /> <br />The annual meeting of the stockholders and the directors of <br />the Windsor Reservoir and Canal Company was held at the company <br />offices on February 1, 1994. A quorum of the stockholders was <br />present, and in the manner required by the company's Articles of <br />Incorporation and Bylaws, the stockholders unanimously approved an <br />increase in the annual assessments from $200 per share to $425 per <br />share. The unanimous approval of the shareholders was given after <br />a discussion of the proposed loan to the ditch company from CWCB. <br />This included a presentation by our attorney and the project <br />engineer describing the natu~e and extent of the project. The <br />shareholders were also advised that a portion of the increase in <br />the assessments was required in order to adequately fund the <br />repayment of the loan. <br /> <br />If you <br />feel free <br />proceeding <br />assistance <br /> <br />have any questions or need anything further, please <br />to contact our attorney or the undersigned.
