Based on our knowledge <br />of Windsor Reservoir and our review of all operative documents, we <br />are of the opinion: <br /> <br />1. That the signature of the person signing for <br />Windsor Reservoir is that of an official duly elected or <br />appointed to execute such documents. <br /> <br />( <br />pp ~O :;:D <br />~? <br />f)t4 <br /> <br />2. That the person signing the Project Contract and <br />related loan documents for Windsor Reservoir has the <br />authority to bind Windsor Reservoir and that the Project <br />Contract has been validly approved by the governing body of <br />Windsor Reservoir, its board of directors. A certified copy <br />of the resolution approving the Project Contract is attached <br />hereto. <br />
