<br />JOHN PEROULlS AND SONS <br />(a Colorado General Partnership) <br /> <br />MINUTES OF SPECIAL MEETING <br /> <br />John Peroulis, Managing General Partner, of John Peroulis and Sons, a Colorado <br />General Partnership, called a special meeting of the partners to review and approve the . <br />following documents relative to renovation of the Martin Cull Reservoir: <br /> <br />1, Loan Contract No. C 150083 with the Colorado Water Conservation Board, <br /> <br />----2.--- -Project"Su-mmary for Contract No. Cf5U083,----- <br /> <br />3, Promissory Note dated August 1, 2002. <br /> <br />4.. Deed of Trust. <br /> <br />5, Present for such meeting were: <br /> <br />John Peroulis <br />Katherine E. Peroulis <br />Harry J. Peroulis <br /> <br />Stanley J. Peroulis <br />Nicholas J. Peroulis <br />Louis J, Peroulis <br /> <br />representing all of the partners in the company. <br /> <br />John Peroulis was appointed Chairman of the meeting and Katherine E. Peroulis <br />was appointed Secretary. <br /> <br />After discussion, and the affirmative vote of all the partners, it was unanimously <br />resolved that the Partnership be authorized to execute and deliver the foregoing Loan <br />Contract C 150083, the Promissory Note, and the Deed of Trust, as well as any other <br />documents required to complete the transaction. <br /> <br />.
