Based on <br />that review, my opinion is as follows: <br /> <br />1. The contract for the above-referenced loan has been <br />dually executed by the officers of the ritch Company, who <br />are dUly elected or appointed and are authorized to <br />execute the contract and combine the Ditch Company. <br />Further, the resolution's of the Ditch Company <br />authorizing the execution and delivery of the contract <br />were duly adopted by the Ditch Board of Directors. <br /> <br />2. There are no provisions in the Articles of Incorporation <br />or Bylaws of the Rio Grande and - Piedro Valley Ditch <br />Company or any other state or local law that prevent this <br />contract from binding the Ditch Company. <br />
