<br />6-25-1997 12,00PM <br />'-~ <br /> <br />FROM STEAMBOATSPGSWATER 9708798169 <br />. . <br />EXHIBIT A <br /> <br />P.2 <br /> <br />RESOLUTION <br /> <br />A RESOLUTION AUTIIORIZING TIlE ISSUANCE BY TIlE <br />UPPER YAMPA WATER CONSERVANCY DISTRICT, ROUTT <br />AND MOFFAT COUNTIES, COLORADO, OF $3,900,000 <br />GENERAL OBUGATION (LIMITED TAX) WATER <br />CONSERVANCY REFUNDING BONDS, SERIES 1993, FOR <br />TIlE PURPOSE OF REFUNDING TIlE DISTRICT'S GENERAL <br />OBUGATlON (LIMITED TAX) WATER CONSERVANCY <br />BONDS, SERIES JUNE 1, 1978; APPROVING AND <br />CONFIRMING TIlE SALE OF SUCH BONDS; PRESCRIBING <br />TIlE FORM, F1X1NG THE DETAILS AND PROVIDING FOR <br />THE PAYMENT OF PRINCIPAL OF AND INTEREST ON <br />SUCH BONDS AND TIlE APPUCA nON OF TIlE PROCEEDS <br />THEREOF; AND PROVIDING FOR OTIlER MATTERS IN <br />CONNECTION TIIEREWITII. <br /> <br />WHEREAS, Upper Yampa Water Conservancy District, Routt and Moffat Counties, <br />Colorado (the "District"), is a public corporation duly authorized and existing as a water <br />conservancy district under the constitution and laws of the State of Colorado; and <br /> <br />WHEREAS, the District has heretofore duly authorized, sold, issued and delivered to the <br />purchasers thereof its General Obligation (Limited Tax) Water Conservancy Bonds, Series June <br />I, 1978, originally issued and currently outstanding in the aggregate principal amount of <br />$3,900,000 (the "Series 1978 Bonds"); and <br /> <br />WHEREAS, all the Series 1978 Bonds are subject to redemption prior to their respective <br />maturities at the option of the District in whole or in part in inverse numerical order on <br />November 15, 1993, and on any interest payment date thereafter, for the principal amount of <br />each bond so redeemed and accrued interest thereon to its redemption date; and <br /> <br />WHEREAS, the principal of and interest on the Series 1978 Bonds are payable at <br />Colorado National Bank (as successor to The Central Bank and Trust Company of Denver, <br />d/b/a! Central Bank of Denver, a banking, corporation), in Denver, Colorado, as paying agent; <br />and . <br /> <br />WHEREAS, none of the Series 1978 Bonds have heretofore been refunded, nor have any <br />of the same been redeemed or otherwise paid, cancelled or retired by the District; and <br /> <br />WHEREAS, after extended discussions and consultation, it has been deteI1l1ined by the <br />Board of Directors of the District (the "Board") that by entering into and completing a refunding <br /> <br />ll2Il0942.$ <br />
