Walker <br />Deputy Director <br /> <br />RE: The North poudre Irrigation Company - repurchase of <br />small project loan from the Bureau of Reclamation <br /> <br />Gentlemen: <br /> <br />We are the general counsel for The North Poudre Irrigation <br />Company. <br /> <br />In accordance with your letter of July 11, 1988, I am fur- <br />nishing the following opinion: <br /> <br />a. That the signature of the person signing for The <br />North Poudre Irrigation Company is that of an official, duly <br />elected or appointed; <br /> <br />b. That the person signing for The North Poudre <br />Irrigation Company has the authority to bind The North Poudre <br />Irrigation Company and that the contract has been validly <br />approved by The North Poudre Irrigation Company's governing <br />body. A copy of the particular minutes of the meeting <br />approving the contract are attached to this opinion. <br /> <br />c. That the Board of Directors of The North Poudre <br />Irrigation Company has the authority to enter into the contract <br />without a vote of the stockholders. <br /> <br />d. That there are no provisions in the Articles <br />Incorporation of The North Poudre Irrigation Company or in <br />By-J"aws or any other state or local law that prevents <br />contract from binding The North Poudre Irrigation Company. <br /> <br />of <br />its <br />this <br /> <br />/ <br />
