Re: Contract with Colorado Water Conservation Board Dear Mr. Calder: This letter is written to you in compliance with the Colorado Water Conservation Board's correspondence dated July 11, 1988. That correspondence refers to a CWCB Construction Fund Program under which you will execute a contract with CWCB for the borrowing of funds necessary to payoff two discounted loans from the Federal Government to the District. I have reviewed the contract between the CWCB and the District. My opinions concerning that Contract are as follows: A. The signature of the person signing for the Orchard"Mesa Irrigation District, Max Nolan, is that of an official duly elected. Mr. Nolan is President of the Board of Directors of the District. B. Max Nolan, as President of the Board of Directors of the District, has the authority to bind the District and the Contract has been validly approved by the District's governing body, its Board of Directors. A copy of the minutes of the meeting of the Board of the District is attached. C. The Board of Directors has the authority to enter into the Contract pursuant to the authority granted the Board in a special election held on July 20, 1988. A certified copy of election results is attached. . D. There are no provisions in the statutes or law governing the Orchard Mesa Irrigation District or in its charter that prevent this Contract from binding the District.
