Zilis <br />Asimakis P. latridis - Of Counsel <br />GeorgeVranesh (1926-1997) <br />CWCB Loan Contract C150029 With Chilcott Ditch Company <br />I am the attorney for the Chilcott Ditch Company ("CDC"). As you requested in your letter dated <br />February 25, 2000, I have reviewed the draft contract for a loan in the amount of $250,000. I <br />have also reviewed the CDC's bylaws and discussed this matter with its president, Glen Ermel. <br />Pursuant to paragraph A.8. of the loan contract, I can provide you with the following opinions: <br />1. It is my opinion that Glen Ermel has been duly elected president and Toby Wells has been <br />duly elected secretary of the CDC and both have authority to sign the loan contract on <br />behalf of CDC and to bind CDC. <br />2. It is my opinion that the CDC shareholders have validly adopted a resolution dated <br />December 28, 1999, approving the loan contract. <br />3. Tl:ere are no pr�vis�ons ir. Lhe CDC's articles of incorpo*ation cr bylaws t�at prever_t this <br />contract from binding CDC, and I know of no state or local law that would prevent the <br />loan contract from binding CDC. <br />4. It is my opinion that the contract will be binding and valid against CDC if entered into by <br />the State and properly executed by Glen Ermel and Toby Wells on behalf of CDC. <br />
