-

.

.

RECORD OF PROCEEDINGS

THE NORTH POUDRE IRRIGATION COMPANY

*

President Pineda infonned the stockholders the North Poudre Board asked for and recently received
a favorable response from CWCB for approximately $500,000 for several projects on the system, Those
projects include the #6 outlet project, the Buckeye Lateral project, #5 cut-offwall for existing spillway
required by State, Indian Creek spillway and cut-offwall and the #4 project, which is renovation of the
reservoir to meet State safety requirements. No objections were expressed by any stockholder, and Board
actions were approved in a later Resolution at the meeting.

The legalities of taking over the Buckeye Lateral were recently completed through the persistent
efforts oCDel Black, Steve Goodwin and Dorothy Schild.

Duane Aranci gave a brief report on the North Poudre lots still for sale at Reservoirs #2 & #6. The
lots have been difficult to sell due to the fact that the accesses to the lots are unattractive. The lots are
presently listed at $159,000,

Attorney Hill gave a brief thank you to Harlan Seaworth and to the Board members for the
opportunity to serve North Poudre and for the experience and knowledge he has acquired from it.

4

Duane Aranci read a resolution which provided:
The actions of the Directors and Officers on behalf of the company during the fiscal and
calendar year last past are ratified and approved. The North Poudre Irrigation Company
shall indemnify the Directors and Officers and hold them hannless from any personal
liability for their actions as Directors and Officers as provided by Colorado law.

"

Del Black and Ben Dumler moved to approve, Mike DiTullio seconded, Motion carried by the stockholders
without any dissenting vote.

George Wallace and Mary Beth Simon gave a brief presentation on development of rural land
regarding the 'right to fann', which entails the use of irrigation water and ditches.

Dennis Bode answered questions on the newly adopted water policy, specifically, how it would
affect stockholders, Mr. Bode stated that ag users can use all types of water but M&I users can use only
the CBT portion of the share, The changes would only slightly affect ag users, The real benefit of the new
policy distinctly defines the CBT portion for the M&I group,

Art Pirnie, Mary Beth Simon and Phil Teeter expressed their concerns regarding the use of
chemicals in spraying weeds and felt some sort of notification to the landowners would be helpful. Duane
Aranci stated that it would be impractical to notify everyone but that North Poudre would take
precautionary measures,

All those attending felt that the Holiday Inn was a good place for the annual meeting and agreed to
use the same facility next year.
