That the signature of the person signing for the entity is that of an official <br />duly elected or appointed. <br /> <br />2. That the person signing for the entity has the authority to bind the entity and <br />that the contract has been validly approved by the entity's governing body. <br /> <br />3. That the stockholders of the entity have approved the contract in an election. <br /> <br />4. That there are no provisions in the entity's code or charter or any other state <br />or local law that prevents this contract from binding the entity. <br /> <br />5.
