Box 325 <br />Monument, CO <br />80132 <br /> <br />Ladies and Gentlemen: <br /> <br />We are attorneys admitted to practice in the State of Colorado and have acted as <br />counsel to the Town of Monument and the Town's Water Enterprise which has agreed to' <br />enter into a Supplemental Loan Contract with the Colorado Water Conservation Board. <br /> <br />In so acting we have examined the Constitution and the laws of the State of <br />Colorado which we deemed relevant. We have also examined originals or copies <br />certified or otherwise identified to our satisfaction of the following: <br /> <br />I. Loan Contract Amendment No. I, by and between the CWCB and the <br />Enterprise; <br /> <br />2. The Promissory Note by and between the CWCB and the Enterprise; <br /> <br />3. The proceedings of the goveming body of the Enterprise relating to the <br />approval of the Loan -Contract Amendment and the execution, issuance and <br />delivery thereof by the Enterprise. . <br /> <br />We have also examined and relied upon originals, or copies certified or otherwise <br />authenticated to our satisfaction, of such other records, documents, certificates and other <br />instruments and made such investigation of law as in our judgment we have deemed <br />necessary or appropriate to enable us to render the opin~ons expressed below.
