<br />Grantor, for and in consideration of the sum of Ten Dollars ($10.00), the receipt and
<br />sufficiency of which is hereby acknowledged, and the terms and conditions of three unre-
<br />corded documents (the "Two Loans"), one by and between Grantor and Grantee. dated. August IS,
<br />1985, for the loan from Grantee to Grantor of One Hundred Fifty Thousand Dollars ($150,000)
<br />and one dated August 15, 1981, by and between Grantee and the Paradox Valley Canal and
<br />Reservoir Company, for the loan of One Hundred Thousand Dollars ($100,000). as amended on
<br />August 15, 1983, and" as assigned to Grantor on August I. 1985, has granted, bargained, sold
<br />and conveyed, and by thas", presents does grant. bargain, sell, convey and confirm unto
<br />Grantee, its successors and assigns, until Grantor repays to Grantee the sums owed by
<br />Grantor to Grantee pursuant to the Two Loans, the following real property improvements to
<br />the Buckeye Dam and Reservoir, Manti-La Sal National Forest, S~, Sec. 11, T. 48N.. R. 20W. .
<br />NMPM, near the Utah border, (the "Propertyll), situate. lying and being in the County of
<br />Montrose and State of Colorado:
<br />1. a slurry trench cutoff wall in the existing dam embankment and the dam
<br />foundation;
<br />2. 2,200 cubic yards of compacted fill on present embankment;
<br />3. One spillway;
<br />4. One outlet gate structure together with 40 feet of outlet conduit; and
<br />5. 640 cubic yards of 3/4 inch bedding material.
<br />TOGETHER with all and singular the hereditaments and appurtenances thereunto belonging,
<br />or in anywise appertaining, the reversion and reversions, remainder and remainders, rents,
<br />issues and profits thereof, and all the estate, right, title, interest. claim and demand
<br />whatsoever of the Grantor. either in law or equity. of, in and to the above Property. with
<br />the hereditaments and appurtenances.

<br />TO HAVE AND TO HOLD the Property. with the appurtenances. unto the Grantee its succes-
<br />sors and assigns. And the Grantor, for itself, its successors and assigns does convenant,
<br />grant. bargain and agree to and with the Grantee. its successors and assigns, that at the
<br />time of the ensealing and delivery of these presents, Grantor is well seized of the
<br />Property, has good, sure. perfect. absolute and indefeasible estate of inheritance, in law,
<br />in fee simple. and has good right. full power and lawful authority to grant, bargain, sell
<br />and convey the same in manner and form aforesaid. and that the same are free and clear from
<br />all former and other grants, bargains. sales. liens, taxes, assessments. encumbrances and
<br />restrictions of whatever kind or nature whatsoever.

<br />Grantor shall and will WARRANT AND DEFEND the Property in the quiet and peaceable
<br />possession of the Grantee, its successors and assigns, against all and every person or
<br />persons lawfully claiming the whole or any part thereof.
<br />
<br />THIS DEED IS GRANTED BY GRANTOR TO GRANTEE ONLY AS SECURITY FOR THE TWO LOANS.
<br />
<br />IN WITNESS WHEREOF. the Grantor has executed this deed on the date set forth above.
