and John F. Thompson, the duly elected and qualified and acting Secretary of the

Delta Canal Company, a corporation organi ed under the laws of the Staee of Colo-

rado by original Articles of Inc:orpor8.t1on, dated June !, 1889, duly filed in the

office of the Secretary of state of tile State of Colorado, and in the office of the

County Clerk and Recorder of Delta Cou.ntYJ in said state, do hereby certify:

That at a meeting of the stockholders held at the law office of stewart

& Brown 1b Delta, Colorado, on the 23rd day of NovEmlber, 1934, which meeting was

called upon request of mare than ten per cent.., of. the stockholders and due notice

thereof given by publication of notice of said meeting in the Delta. Daily Indepe~-

ent, in the manner required by law J the fallowing Resolution \<laB duly pre$6oted

to the stockholders present and unanimously adopted:

"RESOLVED: That the corporate life of The Delta Canal Company be renewed

for a period of pe:rpe'ual existence."

That said meeting wAS adjourned to the 6th day of February, 1935.

That pursuant to such adjournment, the second meeting was held on said date

at the hour of 7:30 o'clock P.M., at Delta, COlorado, and a majority of the stock-

holders of saici corporation being pres~nt) all of the acts. and. doings of the meeting

held on the 23rd day of November, 19341 as stated above were ratified and oonfirmed

and the President and Secretary authorized and instructed to make this Certificate

that the corporate life of The Delta. Canal Company be, and upon the filing of this

Certificate with the Secretary of State of the State of COlorado, is hereby ren6lo/"ed

for a period of perpetual existence. 142 shares of stock out of the entire 250

shares of capital stock lIere present, and upon vote baing taken by ballot, 142

shares voted in favor of a renewal of the corporation for a period of perpetual

exiBt~nce and no shares against. Carried.

We furthur certify that although the exi1itence of this Company expired

December 26, 1909, the same has not heretofore been administered upon as an expired

eopporation, and has not been liquiaated or dissolved in any way e1 tiler before or

since that date..
