Re: Project~Contract and Feasibility Report Contract Amendment
between City of Greeley Water and Sewer Board and State of
Colorado Water Conservation Board concerning Comanche Dam.

The Water and Sewer Board of the City of Greeley, Colorado was
created under Article XVII of the Home Rule Charter of the City
of Greeley. The Charter was adopted pursuant to the Home Rule
provisions of the Colorado Constitution.

The Board under Section 17-4 of the Charter is granted the power
and is required to "Acquire, develop and protect the water supp-
lies decreed and adjudicated or contracted for, for the City of
Greeley".

Comanche Dam and Reservoir are part of the water supplies for
the City of Greeley.

An election is not necessary as the Water Supply exception and
Home Rule provisions of the Colorado Constitution apply. There
are no provisions in Greeley's Code of Ordinances, Charter, or
State Law that prevents the contracts from binding Greeley.

The contracts for Greeley acting through the Greeley Water and
Sewer Board shall be signed by W.D. Farr, the duly appointed
Board Member and Elected Chairman of the Board and is a valid
and binding contract or contracts on behalf of the City of
Greeley when executed by the State of Colorado_
