<br />This Contract, made this 2YTJ,. day of November 2000, by and between the
<br />State of Colorado for the use and benefit of the Department of Natural Resources,
<br />Colorado Water Conservation Board hereinafter referred to as the "CWCB" or "State"
<br />and Van Schooneveld and Co., Inc., whose address is 6000 Greenwood Plaza Blvd,
<br />No, 110, Greenwood Village, CO 80111-4817, hereinafter referred to as the
<br />"Contractor,"

<br />FACTUAL RECITALS
<br />
<br />1, Authority exists in the law, and funds have been budgeted, appropriated and
<br />otherwise made available, remains available for payment of a total of $70,920 from
<br />Fund No. 424, Org No, YYYY, Program WTRC, Appr, NOO, GBL AFR, Rept Cat No,
<br />0053, Contract Encumbrance No C150053.
<br />
<br />2. Pursuant to HBOO-1419 Section 14, the CWCB is authorized to contract with a
<br />responsible independent accounting firm for the purpose of compiling a
<br />comprehensive annual financial report of the Colorado Water Conservation Board
<br />Construction Fund and Severance Tax Trust Fund Perpetual Base Account and, on
<br />an as-needed basis, a performance audit of the loan programs.
<br />
<br />3. This contract is entered into pursuant to the provisions of 933-1-105, C,R.S.
<br />
<br />4, On August 30,2000, the State issued Request for Proposal RFP PDA-134W-CPA,
<br />hereinafter referred to as "RFP" and incorporated herein by reference, and the
<br />successful bidder for this RFP was the Contractor. The Contractor's proposal,
<br />dated October 5, 2000, is incorporated herein by reference,
<br />
<br />5. Required approval, clearance and coordination have been accomplished from and
<br />with appropriate agencies,
<br />
<br />NOW, THEREFORE, it is hereby agreed that:

<br />1. Scope of Work
<br />
<br />The purpose of the work is the compilation of an Comprehensive Annual Financial
<br />Report and the evaluation, and recommendations relative to the accounting
<br />procedures and controls covering the CWCB Construction Fund and Severance Tax
<br />Trust Fund Perpetual Base Account. The Contractor agrees to perform the work as
<br />stated in the Scope of Work, contained in the RFP and incorporated herein by
<br />reference.
