" adopted for the management of said canal and irrigation system and for the distribution of water. SECTION III. Repair of C~nal. The company may shut off the water for the purposes of general or special repair of canals, flumes and gates or other portion of said irrigation system and for any other purpose incidental to the conduct of its business at such times as urgent necessity may require, but shall restore water as speedily as the nature of the case will permit. SECTION IV. Fiscal Year. The business year of the company shall begin on the 1st year and end on the 31st of December following. fiscal year or of January of each SECTION V. Surplus. Any and all surplus over and above the costs of operating said company and discharging all obliga- tions thereof, will be used solely for the purpose of reducing the as- sessments which would otherwise be levied against the stock for the ope~ation of said company for the succeeding year. ARTICLE XII AMENDMENTS AMENDMENTS. These By-Laws may be altered, amended, modified or added to by the vote of a majority of the Board of Directors at any regular meeting. Notice of the intended alteration, amendment, modificat~on or addition must have been given at a previous meeting; and not acted upon for at least one week from the time of such notice. The operation of the By-Laws may, by resolu- tion duly entered on the minutes, be temporarily suspended by a majority vote of the Board of Directors, but such resolution shall ex- plain the object of such suspension of the By-Laws and the length of time they shall be suspended. i CERTIFICATION OF DIRECTORS. We, the undersigned, being a majority of the directors of the Consolidated Extension Canal Company, do hereby certify that the foregoing code of the By-Laws was passed, approved, and adopted at the annual meeting of the Consolidated Extension Canal Company held on the 2nd day of February, 1995 and was entered in the book of By-Laws which is kept in the office of the com- pany. - 9-
