Walker <br />Deputy Director <br /> <br />Dear Mr. Otsuka: <br /> <br />, <br />, <br />; <br /> <br />Enclosed are four copies of a proposed contract between <br />the Sedgwick-Sand Draws Watershed Conservancy District and this <br />board for the purpose of constructing Phase III of the <br />District's project, as set forth in the contract. <br /> <br />It is necessary to have an attorney's opinion letter from <br />the Sedgwick-sand Draws Watershed Conservancy District (entity) <br />before we enter into the above~referenced contract. The letter <br />should give the following opinions: <br /> <br />1. That the signature of the person signing for the <br />entity is that of an official duly elected or <br />appointed. <br /> <br />2. That the person signing for the entity has the <br />authority to bind the entity and that the contract has <br />been validly approved by the entity's governing body. <br />A copy of the particular minutes of the meeting <br />approving the contract should be attached. <br /> <br />3. That the governing body of the entity has the <br />authority to enter into the contract without a vote of <br />its stockholders/residents as this contract comes <br />within the "water supply exception" of the Colorado <br />Constitution, Article XI, Section 1, or that the <br />voters of the entity have approved the contract in an <br />election. A certified copy of the election results <br />should be attached if applicable. <br /> <br />4. That there are no provisions in the entity'S code or <br />charter or any other state or local law that prevents <br />this contract from binding the entity. <br /> <br />2498E <br />
