Walker Deputy Director Dear Mr. Otsuka: , , ; Enclosed are four copies of a proposed contract between the Sedgwick-Sand Draws Watershed Conservancy District and this board for the purpose of constructing Phase III of the District's project, as set forth in the contract. It is necessary to have an attorney's opinion letter from the Sedgwick-sand Draws Watershed Conservancy District (entity) before we enter into the above~referenced contract. The letter should give the following opinions: 1. That the signature of the person signing for the entity is that of an official duly elected or appointed. 2. That the person signing for the entity has the authority to bind the entity and that the contract has been validly approved by the entity's governing body. A copy of the particular minutes of the meeting approving the contract should be attached. 3. That the governing body of the entity has the authority to enter into the contract without a vote of its stockholders/residents as this contract comes within the "water supply exception" of the Colorado Constitution, Article XI, Section 1, or that the voters of the entity have approved the contract in an election. A certified copy of the election results should be attached if applicable. 4. That there are no provisions in the entity'S code or charter or any other state or local law that prevents this contract from binding the entity. 2498E
