Notice was given and a quorum of the Board of Directors <br />was present at the August 4, 1993 meeting. The terms of the <br />Contract were formally and validly approved by unanimous vote of <br />the Boards of Directors of the District and the Enterprise at the <br />regular meeting held August 4, 1993. <br />4. The District and the Enterprise have the authority to <br />enter into the Contract without a vote of the residents of the <br />District, pursuant to §§37-45-118(n), 37-45.1-104 and 37-45.1-106, <br />C.R.S. The Contract does not create any general obligation debt of <br />the District within the meaning of the Colorado Constitution, <br />Article XI, Section 6. <br />5. There are no provisions of State or local law that <br />prevent this Contract from binding the District and the Enterprise. <br />6.
