WHEREAS, lIuthority exists in the Law and Funds bave been budgeted, appropriated and otherwise made
available and a sufficient unencumbered balance thereof remains available for payment in Fund Number .d 0 0 R ,

WHEREAS, required approval, clearance and coordination has been accomplished from and with appropriate
a~cllcics; and

WHEREAS, the State and the Contactor did on May 15, 1976, enter
into a contract for State participation in the construction of
the Rangely water supply project for the benefit of the
inhabitants of Rdngely .in Rio Blanco County, Colorado, which
contract is attached hereto as Exhibit A and hereby incorporated
herein; and

WHEREAS, the Rangely project does not operate as orgina~ly
anticipated, thus creating problems for the Rangely inhabitants;
and

WHEREAS, repairs to the Rangely project will become necessary
to make the present project fully operational; and

WHEREAS, due to the above deficiencies to the project, the Town
of Rangely .is finding it extremely difficult to meet its
financial obligations to the State;

NOW THEREFORE,
covenants herein
follows:

tn consideration of the mutual and dependent
contained, it is agreed by the parties hereto

as

1. The t'drms and provisions of paragraph A.9. and 8.4. of
that certain contract dated May 15, 1976, attached hereto as
Exhibit, "II'AII and Incorporated herein by reference shall no longer
be "effective but shall be amended to read as follows:

A.9. Purchase from the State all of the State's right,
title and interest in said project and any facIlities
thereof at a total purchase price of Nine Hundred '
Seventy-Three Thousand Nine Hundred Ninety-Six Dollars
($973,996), payable in thirty-one annual installments
as follows: thirty annual installments of Thirty Thousand
Six Hundred Twelve Dollars ($30,612) each, and a thirty-
first installment of Fifty-Five Thousand Six Hundred
Thirty-Six Dollars ($55,636). The first Installment shall
be due and payable on July 1, 1982, and yearly thereafter
until the entire principal sum shall have been paid. Said
installment payments shall be made payable to the Colorado
Water Conservation Board, payable at the offices of said
Board in Denver, Colorado.

B.4. Upon completion of the payment of the full purchase
price to the State in the sum of Nine Hundred Seventy-Three
Thousand Nine Hundred Ninety-Six Dollars ($973,996), as set
forth tn paragraph A.9. of this contract, convey to the
Contractor all of the State's right, title and interest in
and to the project by deed or other proper conveyance.

2. ALl other terms dnd provisions of that certain contract
ddted May 15, 1976, shall remain in full force and effect.
