<br />SANCHEZ DITCH
<br />AND RESERVOIR COMPANY

<br />ARTICLE I
<br />
<br />Officers
<br />
<br />The officers of this company shall consist of a
<br />president, vice. president, secretary and treasurer who
<br />shall be chosen by the directors at the first meeting
<br />after the annual meeting of the stockholders in each
<br />year, They shall be elected from the Board of Directors,
<br />except that the secretary and treasurer mayor may not
<br />be directors. The office of the secretary and of the
<br />treasurer may be filled by the same person, All of such
<br />officers shall hold their respective offices until their
<br />successors are appointed and enter upon the duties of
<br />their offices.

<br />ARTICLE II
<br />
<br />Duties of President
<br />
<br />It shall be the duties ofthe President to preside at all
<br />meetings of the directors and to sign all bonds, deeds,
<br />agreements or other instruments in writing, made or
<br />entered into by or on behalf of the corporation, to sign
<br />all certificates of stock and in general perforrn all acts
<br />inciden t to his offices.

<br />ARTICLE III
<br />
<br />Duties of Vice-President
<br />
<br />It shall be the duties of the Vice. President to perform
<br />all such functions as belong to the office of President in
<br />the absence of the President.
<br />
<br />ARTICLE IV
<br />
<br />Duties of the Secretary
<br />
<br />The Secretary shall give due notice of all meetings of
<br />stockholders and of the Board of Directors, shall record
<br />all votes and the minutes of all of the proceedings had
<br />at such meetings, and shall keep proper books for the
<br />company, including all books and records as may be
<br />
