ARTICLE I

OFFICES

The principal offices of the Association in the State of

Colorado shall be located in the City of Lamar, County of

Prowers, State of Colorado. The Association may have

such other offices, either within or without the State of Colorado,

as the board of directors may designate or as the business of the

Association may require from time to time,

The registered office of the corporation as required by the

law of the State of Colorado shall be located at 109 W. Beech.St.,Box 1161,

Lamar, Colorado, and the address of the registered offite may be changed

from time to time by the board of directors, The registered

agent of the association is designated to be Clifton L, Etter,

ARTICLE II

MEMBERS

Section I, Persons located within the State of Colorado who

are interested in any manner in the purposes of the association

shall be eligible for initial membership in this Association,

upon application submitted to it in such form as is determined by

the beard of directors and upon payment of a membership fee of

$25.00 per well, or such other sum as may be set by the Board of Directors,

Section 2. All applications for membership after the original

membership is closed shall be subject to the approval or rejection
