<br />-<<- . <br /> <br />.. . ~ <br /> <br />. <br /> <br />. <br /> <br />RESTATED AND AMENDED ARTICLES OF INCORPORATION <br /> <br />OF <br /> <br />LOWER ARKANSAS WATER MANAGEMENT ASSOCIATION <br /> <br />Pursuant to the provisions of the Colorado Nonprofit <br />Corporation Act, as amended, the Lower Arkansas Water Management <br />Association hereby adopts the tollowing. Restated and Amended <br />Articles of Incorporation. Upon their effective date, these <br />Restated and Amended Articles of Incorporation shall supersede and <br />replace the Articles of Incorporation adopted on May 30, 1990. <br /> <br />ARTICLE I <br />NalIl.e <br /> <br />The name of the corpo:ration is LOWER ARKANSAS -WATER <br />MANAGEMENT ASSOCIATION. <br /> <br />ARTICLE II <br /> <br />The corporation is form~d in recognition of the need of <br />its members to organize in order to meet the requirements of ground <br />water use administration in the State of Colorado and, in <br />particular, in the Arkansas Valley. The corporation is the <br />continuation of the organization incorporated on February 20, 1973 <br />and on May 31, 1990 for the purpose of providing augmentation <br />service to its members. <br /> <br />After the State of Colorado was sued by the State of <br />Kansas and the Colorado State Engtneer adopted stricter rules and <br />regulations governing well pumping, the importance of continuing <br />and strengthening this organization has increased. Increased <br />augmentation demands have led members with pre-1986 wells to come <br />together to jointly borrow money on a long-term basis to buy <br />additional water rights and for ~ll members to band together to <br />implement a practical plan for augmentation and to accommodate its <br />administration for the benefit of all members. It is recognized <br />that the adoption of a structure tnat enables the issuance of stock <br />to members with pre-1986 wells will strengthen the organization. <br /> <br />These articles of <br />recognition of these matters. <br /> <br />incorporation are <br /> <br />adopted in <br /> <br />ARTICLJ;: III <br />Office an~ Agents <br /> <br />The address of the ini.tial registered office of the <br />corporation is 307 South 5th Street, P.O, Box 1161, Lamar, Prowers <br />County, Colorado 81052.
