This agreement is not intended, and it shall not be <br />construed, as an agreement to undertake and perform <br />Stage II activities, but rather is intended as an <br />interim agreement for the purpose of memorializing the <br />parties' agreements and understandings with respect to <br />the compensation and reimbursement of expenses incurred <br />by the Contractor in its activities preliminary to <br />Stage II activities as described above. <br /> <br />6. This Agreement shall bind and benefit the parties and <br />their successors. <br /> <br />7. This contract may be terminated by either party with or <br />without cause upon 10 days notice in writing to the <br />other party at the addresses first above given. In the <br />event that the contract is so terminated, the State <br />shall compensate the Contractor for all services <br />rendered prior to the time that notice of termination <br />is given or received by the Contractor. <br /> <br />8. This contract shall become effective immediately upon <br />its execution by proper state signatories and shall <br />automatically terminate March 31, 1986, unless sooner <br />terminated by either party to the contract pursuant to <br />the provisions of paragraph 7. <br /> <br />9. This contract is not assignable by the Contractor <br />except with the prior written approval of the State. <br /> <br />10. This contract is subject to and contingent upon the <br />availability of the $197.436 grant which Reclamation <br />has made available to the State. The State represents <br />that it has an agreement with Reclamation to provide <br />the funds for the purposes of this contract <br />(Reclamation Contract). The State shall comply with <br />the Reclamation Contract. If, in the State's sole <br />opinion, the State deems it necessary, the State shall <br />enforce the Reclamation Contract in order to provide <br />funding for this contract for the benefit of the <br />Contractor and the State. <br /> <br />.' <br /> <br />, . <br /> <br />"., .'. ~ ....Pqge.3.
