Re: Attorney's Opinion Letter with Respect
to the Authority of the Cucharas Sanitation
and Water District to Enter Into an Agreement
with the Colorado Water Conservation Board

Dear Mr. Ioannides:

We have been requested by the Cucharas Sanitation and Water
District to respond to your letter of August 12, 1987 requesting
an attorney's opinion letter affirming the authority of the
Cucharas Sanitation and Water District to enter into an agreement
with the Colorado Water Conservation Board. Our response is as
follows:

1. The signature of the person signing for Cucharas
Sanitation and Water District is that of the manager, John P.
McQuay who has been duly appointed by the Board of Directors as
managing agent for the District.

2. Under Section 32-1-1001(1)(d), C.R.S., the Cucharas
Sanitation and Water District has authority to enter into
contracts and agreements affecting the affairs of the special
district. During the regularly scheduled meeting of the Board of
Directors of the District on August 10, 1987, manager John P.
McQuay was authorized by the Board of Directors to sign the
contract which is the subject of this opinion. A copy of the
minutes of this board meeting is attached to this letter as exhi-
bit "A".
