In our <br />opinion the District is authorized to enter into the Loan Contract with the State of <br />Colorado for the use and benefit of the Department of Natural Resources, Colorado <br />Conservation Board (hereinafter the "State") for the rehabilitation of the Harmony Ditch <br />No.1 diversion structure, and to borrow from the State the sum of$51O,469.00 for that <br />purpose. <br /> <br />We are further of the opinion: <br /> <br />1. That the contract will be duly executed by officers of the District who are <br />duly elected or appointed and are authorized to execute the contract and to bind the <br />District. We are basing this opinion on the Certificate of the Secretary, attached, <br />certifying the acting President and Secretary of the district, and on the attached resolution <br />designating those persons as the ones to execute the contract. <br /> <br />2. That the resolution of the District authorizing the execution and delivery of <br />the contract was duly adopted by the Board of Directors of the District. We base this <br />opinion on the minutes of the meeting, copy attached hereto, of the Board of Directors of <br />the District, held on December 30, 1998, thilt record that the Resolution was properly <br />placed before the Board, considered and approved. <br /> <br />3. That there are no provisions in the Colorado Constitution or any other state <br />or local law that prevent this contract from binding the District. <br />
