I I I I I I I I I I I I I I I I I I I SECTIONTWO Project Sponsor The Model Land and Irrigation Company was incorporated in Colorado in 1908 to own, hold, construct, operate, maintain, control and manage the Model canal and reservoir system. The Company was administratively dissolved by the Colorado Secretary of State's Office on January 1, 1986 because of past failures to file corporate reports. The shareholders are in the process of restoring the Company to corporate good standing. The Company will be restored to good standing as a Colorado corporation before closing a loan from the CWCB. There are currently six shareholders in the Company holding approximately 5,969 shares outstanding and issued shares. The shares previously held by the River Canyon Ranch have been conveyed to the Company in return for an assignment by the Company of the right to the water used by River Canyon Ranch to irrigate land that it owns under the Lewelling & McCormick Ditch. The shareholders are listed in Table 2-1. The officers of the corporation are listed in Table 2-2. As is apparent in Table 2-1, Oxley family interests now own most of the shares in the Company. John T. Oxley, deceased, purchased most of the shares in the Company listed below as being owned by Oxley family interests in the 1970s when he purchased a substantial amount of the land irrigated from the Company's water rights. At that time, the City of Trinidad owned most ofthe other outstanding shares in the Company. In 1981, pursuant to two agreements among Mr. Oxley, the Company and Trinidad, Trinidad's shares in the Company were transferred to the Company, leaving Mr. Oxley as the owner of most of the outstanding shares of stock in the Company. Mr. Oxley subsequently transferred 2/3 of his shares to the trusts listed below in Table 2-1. The bylaws may be changed in the process of restonng the Company to good standing as a Colorado corporation.
