State. or local laws and <br />regulations. <br /> <br />(7) Actual construction as called for in the bid <br />documents and in Change Orders approved by the <br />Consultant. the Contractor. the Construction Firm. <br />and the State. <br /> <br />(8) Engineering services tor construction <br />management. including design and construction <br />management ~or State-approved Change Orders. <br /> <br />(9) Legal services tor: <br /> <br />(a) Reviewing engineering services contracts. <br /> <br />(b) Reviewing this contract. <br /> <br />(c) Reviewing construction contract <br />documents. <br /> <br />(d) Acquiring the land and water rights <br />needed tor the project. <br /> <br />(e) Complying with all federal State. and <br />local regulatory requirements. <br /> <br />Legal services must be approved by the State <br />in writing before they are rendered to be <br />eligible tor payment by the State. <br /> <br />2. Proviae the Contractor with such technical assis~ance <br />as the State deems appropriate in planning, constructin~. and <br />operating the project an~ in coordinating the project with <br />local official comprehensive plans for sewer and wate: and vitt <br />any State or area plans for the area in which the project is <br />locateo. <br /> <br />~. This contract is not assignable by the Contractor except <br />with the prior written approval of the State. <br /> <br />F. The parties to this contract intend that the relationship <br />between them conternplate~-, by this contract is that of <br />lender-borrower, not employer-employee. No agent, employee. or <br />servant or the Contractor shall be. or snaIl be deemed to be. <br />an employee. agent. or servant of the State. The Contractor <br />will oe solely an~ entirely responsible for its acts and the <br />acts of its agents. employees, se!"vants. engineering firms, <br />construction firms. anO subcontractors during the perfor.mance <br />of this contract. <br /> <br />G. At all times during the performance of this contract. the <br />Contractor shall strictly adhere to all applicable f~de{al and <br />State laws an~ regulations that have been or may hereafter be <br />established. <br /> <br />H. This agreement is intendeO as the complete integration of <br />all understandings between the parties.
