HISTORY OF THE ORGANIZATION <br /> <br />The Windsor Reservoir and Canal Company was incorporated under the laws of the State of Colorado as <br />a nonprofit corporation on May 1, 1890. One of the first projects of the company was construction of The <br />Big Windsor Reservoir in Weld County which began in July 1890. Thompson Reservoir was next and was <br />constructed downstream of The Big Windsor Reservoir. Later purchases by the company include the <br />purchase of Reservoir No.8, Reservoir NO.8 Annex, and Elder Reservoir from the Divide Canal and <br />Reservoir Company in 1911. Douglas Reservoir, Cobb Lake, and the Larimer-Poudre Canal were <br />purchased in 1936. In 1937, the Water Tunnel Company was formed in conjunction with the Water Supply <br />and Storage Company. The Windsor Reservoir and Canal Company owns a one-third interest in the Water <br />Tunnel Company which diverts water from the Laramie River (coming out of Chambers Lake) into the <br />Cache LaPoudre River. <br /> <br />Thompson Reservoir served as an equalizer for The Big Windsor Reservoir until the late 1980's. <br />Thompson Reservoir has recently been abandoned and subsequently, the dam and headgates removed. <br /> <br />The Windsor Reservoir and Canal Company office is located in Eaton, Colorado. The company presently <br />has six reservoirs in its holdings. The company owns about 25 miles of ditch known as the Poudre Valley <br />Canal extending from the Cache La Poudre River, at the junction of highway 287 and highway 14, to Cobb <br />Lake. There is a total of 1000 shares comprising the company with about 275 shareholders with a par <br />value of approximately $100 per share. The present share value is estimated at $20,000 per share. <br /> <br />B. LAWS UNDER WmCH ORGANIZED <br /> <br />A copy of the certificate of incorporation of the Windsor Reservoir and Canal Company and the By-Laws <br />of the company are included in Appendix A. <br /> <br />C. POWERS AND AUTHORITIES OF THE ORGANIZATION <br /> <br />The Windsor Reservoir and Canai Company has the authority to make assessment on the stock in the <br />company. The Company Board, has the authority to enter into contractual arrangements and the authority <br />to vest title to the project (or a portion thereat) to the CWCB. The Company does not have the right to <br />eminent domain. <br /> <br />D. FINANCIAL STATUS <br /> <br />Copies of the Windsor Reservoir and Canal Company's balance sheets and cash balances for 1993 and <br />1994 are contained in Appendix B.
