hereinafter referred to as the contractor,

WIIEREAS, authority exists in the law and Funds have been budgeted, appropriated and otherwise made
available and a sufficient unencumbered balance thereof remains aYailable for payment in Fund Ntlmber400R ,

WHEREAS, required l1pproval, clearance and coordination has been tlccomplished from and with appropriate
agencies; and '

WHEREAS, "pursuant to the provisions of 37-60-121(2), CRS 1973, as
amended, the Colorado Water Conservation Board may allocate to any
project to be constructed by it, such amounts as may be determined by
it for investigating such project, in addition to the amount allocated
for a feasibility study; and

WHEREAS, the Board proposes to construct the Yamcolo project,
which project has already been designed by Western Engineers, a
Colorado engineeriog company; and

WHEREAS, the aoard desires to conduct a geological, design and
engineering feasibility review of said project; and

WHEREAS, the Contractor is a professional engineering firm with
specific experience in this field of multipurpose water projects; and

WHEREAS, the Contractor is an independent contractor and as such
is not entitled to any benefits of the State personnel system;

NOW THEREFORE, it is hereby agreed that

1. That in consideration of the paymentS to be made to the
Contractor by the State as hereinafter set forth, the Contractor agrees
to perform the following services for the State:

a. Perform a three phase geologic and engineering review of
the Yamcolo project as detailed in Appendix A.

b. Complete the review and prepare a written report thereof
to the State ~ithin thirty (30) days of the date of this contract,
to wit, not later than September 15, 197B.

c. Maintain liaison with the State through the Colorado Water
Conservation Board and with the proper officials of the Upper
Yampa Water Conservancy District as the review progresses.

2. As compensation for the services of the Contractor, the State
agrees to pay to the Contractor a sum not to exceed Nine Thousand
Seven Hundred Seventy-Five Dollars ($9,775), based upon the cost
schedule set forth in the Contractor's proposal dated July 12, 1978,
which proposal and the cost schedule included therein is incorporated
herein and made a part of this contract by attachment as Appendix A.
Said ,sum of Nine Thousand Seven Hundred Seventy-Five Dollars ($9,775),
or such part thereof as may be actually earned by the Contractor in
accordance with the schedule attached hereto as Appendix A, shall be
paid to the Contractor in a lump sum upon the completion and acceptance
