EIGHTH: The follo~ing provisions, not inconsistent with

law, are set forth for thE! regulation of the affairs of the'

corporation:

A. DIRECTORS: Of the six (6) Directors,
three (3) shall be elected for terms which
exp ire in even-nUlllbered years and three (3)
shall be elected for terms which expire in
odd-numbered years, on the date of the Annual
Meeting,

B. DIRECTORS: Of the six (6) Directors,
three (3) shall ~e elected from the area
within the Horse Creek Basin below
(downgradient of) the places where the streams
naturally surface because of the "thinning
out" of alluvium and the surfacing of the
Pierre Shale, and the other three (3)
Directors shall be elected from the area
within the Horse Creek Basin above (upgradient
from) those places,

C. PURPOSES: By way of illustration and
explanation, and IIithout limiting any power
granted by law, The Horse Creek Water Users
Association (calleo HCWUA) is meant to perform
the following:

By all lawful means and in all lawful
ways to protect and develop surface and
underground waters in the Horse Creek Basin.
To these ends, HCWVA shall have the right to:

(a) Develop, obtain, and otherwise'
provide protection for its members by means
including but not limited to the filing for a
designated ground ~ater basin pursuant to the
laws of the State of Colorado.
