<br />presents, it is well seized of the premises above conveyed,
<br />has good, sure, perfect, absolute and indefeasible estate of
<br />inheritance, in law, in fee simple, and has good right, full
<br />power and lawful authority to grant, bargain, sell and
<br />convey the same in manner and form aforesaid, and the same
<br />are free and clear from all former and other grants,
<br />bargains, sales, liens, taxes, assessments, incumbrances and
<br />restrictions of whatever kind or nature soever, except the
<br />right of the owners of the dominant estates to cross the
<br />respective easements by livestock and vehicular traffic, t'he
<br />reservation of easements by the owners of the dominaht
<br />estates to enable the withdrawal of that water sufficient to
<br />satisfy needs of any livestock which the owners ot' the
<br />dominant estates may graze on the real property across which
<br />the right-of-way easement traverses, the rights of the
<br />owners to maintain troughs and pipelines hydrologicial
<br />connected to the cement lined canal which has been or will
<br />be constructed by the grantor on the center line of the
<br />above described right-of-way easements.

<br />The grantor shall and will warrant and defend the above
<br />bargained premises in the quiet and peaceful possession of
<br />the grantee, its successors and assigns, against all and
<br />every person or persons lawfully claiming or to claim the
<br />whole or any part thereof.

<br />IN WITNESS WHEREOF, the grantor has caused its
<br />corporate name to be hereunto subscribed by ROYCE REINHARDT,
<br />its President, and its corporate seal to be hereunto
<br />affixed, attested by JOHN NORTON, Secretary pursuant to and
<br />in accordance with a resolution adopted at the annual
<br />meeting of stockholders of the .grantor held on the 21st day
<br />of November, 1991, at the Bowan Community Hall, in the
<br />unincorporated community of Bowan, Colorado, at which a
<br />quorum of stockholders was present and which authorizes the
<br />conveyance herein made.
