RESOWTION AMENDING BY-LAWS
OF ,
THE RAINBOW' PARK WAT3a COMPaNY

..'H~S it is the desire of the Board of Directors of
the Rainbow Park lvater Company to amend the existine; by-
laws of this company pursuant to Article Seven (VII) of the
present by-laws of this company and whereas said Board of
pirectors have this date met in regular session at a re-
'gular scheduled meeting and all of " said directors being
present and whereas all of said directors have voted un-
animously in favor of the resolution amending the co~pany
by-laws as hereinafter set forth:
NOW THEREFORE. be it resolved by the Board of Directors
of the cumpany that Article Five(V), Section Two(2) and '
Article F1ve(V), Section Four(4), only of the by-laws of th~
Rainbow Park Water Company oe, and the same are hereby, re-
pealed and that the following be, and the same are hereby,
enacted as part of the by-laws of this company in the place
and stead of Sections TwO(2) and Four(4) of Article Five(S)
repealed hereby:

ARTICLE V

8ec.2. STOCK CE"TIFICAT:;;:3 AND TRAill.3FER mEREOF. Each
stockholder Shall ne en~it~ to a certificate representing
his shares of stock, duly signed by the President or Vice
President and attested by the Secretary, and issued under
the seal of the company. OertificatsE ~ atockBhall be
numbered by the Secretary as they are issued and shall,be
transferaole only upon the books of the company.
v~enever any stock certificate sh~ll be present~d to the
Secretary of tbis comPdny for transfer, by the holder there-
of or oy his or her duly authorized attorney, the Secretary
shall cancel such certific4te and shall issue d new certif-
icate or new certificates ~herefor as requested by the party
presenting the sam" for transfer; but the Secretary sha-ll, .
in no C3se issue new certiticates for any greater numoer of
sh~res than are represente~ by the certificate or oerti-
ficates surren4ered and caqceled; nor shall any stock certr-
ficate or stock certificat~s issued entitle the holder there-
of to irrigate lands other than the ljnd originally irri-
gated under suoh stock cer\lficate or certificateJUexcapt
by and upon orders and app~val of a majority vote of the
Board of Direct.ors at any regular meeting or specific meet-
ing called for that purpos~; and provided further that no
transfer of water or water rights, as represented by the
stock certificates of this company, from one tract of land
to another tr~~t of land eUQll be permitted, except by and
upon orders an1 approval o~ Q majority vote ot the Board of
Directors at any regular m~eting or speCial m~eting called
for that pqrpo.e, and prov~ded that no stock oertificate or
stock cert~fic~tes isued, on the stoc~ record books of
this company to any . erso~ or persons, or corpora-tion, part..
nership or oth~r JUsinGss association who sh~ll not be the
