To establish, conduct, transact and direct any and all other legal activities, <br />affairs and business enterprises which will promote the prosperity and general well-being of <br />the corporation and the stockholders thereof. <br /> <br />ARTICLE VI <br />PREEMPTIvE RIGHTS <br /> <br />The shareholders shall have preemptive rights. <br /> <br />ARTICLE VII <br />SHAREHOLDER MANAGEMENT <br /> <br />The corporate powers shall be exercised by or under the authority of, and the business and <br />affairs of the Corporation shall be managed under the direction of, a board of shareholders, the <br />members of which shall be all of the shareholders of the Corporation. Each member shall be entitled <br />to cast, on any matter which comes before the board of shareholders, that number of votes that <br />equals the number of shares held by the member. A majority of the outstanding shares constitutes <br />a quorum of the board of shareholders, and, if a quorum exists, action on a matter is approved if <br />the votes cast favoring the action exceed the votes cast opposing the action. <br /> <br />ARTICLE VIII <br />EFFECTIVE DATE <br /> <br />The existence of the Corporation shall begin on the date of filing of these Articles of <br />Incorporation with Secretary of State of the State of Colorado. <br /> <br />ARTICLE IX <br />TERM OF EXISTENCE <br /> <br />The Corporation shall, if not sooner dissolved, continue in existence in perpetuity. <br /> <br />~. : @1l~~~ <br /> <br />Daniel A.
